Company registers and central filings: keep both organised

A central filing is not the company’s entire record system. Keep the internal records and the evidence of submissions organised together, while recognising that they perform different jobs.

Identify the records your company needs

CEA guidance describes statutory company records, including member and officer registers. RBO guidance also requires an internal beneficial ownership register. Ask an adviser for the complete record requirements applicable to your company rather than treating a downloaded public company profile as a replacement for everything the company should maintain.

Choose a record owner and system

Agree who maintains each register, where the current version is held and who may access it. Use clear dates and an update history. A spreadsheet can be useful for coordination, but its suitability for a required record should be checked with the adviser. Avoid several founders keeping competing “latest” copies with no reconciliation process.

Link changes to evidence

For an ownership or officer change, retain the completed transaction or appointment records and the relevant filing outcome. Update the appropriate internal records through the correct process. A useful file structure lets an authorised reviewer understand why a record changed without relying on somebody’s memory. Mark drafts clearly so they are not treated as completed transactions.

Plan continuity and review

Make sure the records remain available if a founder or provider changes. Agree a handover and secure backup process appropriate to the information. Schedule periodic checks for completeness, especially before engaging a new accountant or adviser. The goal is an accurate, maintained record system that supports compliance and decisions, not merely a folder full of attachments.

Your practical checklist

  • Confirm all applicable internal record requirements
  • Assign a responsible person for each record
  • Maintain dated authoritative versions
  • Link updates to completed evidence and filings
  • Plan secure access, backup and handover
