Review the company’s reliance on that director
The EEA-residency requirement continues after incorporation. If the only qualifying director moves, obtain advice on the resulting position and any bond or exemption route. Do not wait until a filing is rejected to ask whether the move affected the arrangements that supported the original formation.
Collect the facts before the move
Record the anticipated relocation date and the other directors’ current circumstances. Explain any uncertainty about residency to your adviser. A holiday, temporary travel and a change of residence are not interchangeable descriptions. The team assessing the issue needs the actual facts rather than a guess based on a future postal address.
Coordinate changes instead of isolating them
Ask the filing adviser which officer details and company records need updating. Separately, review banking contacts, signing arrangements and access to official correspondence. A change to one record does not necessarily update every other provider. Create a handover list that identifies the authority or service involved, evidence required and person responsible.
Keep appointments responsible
Do not rush to appoint somebody solely to provide an address. Any new director should understand the role and have access to the company information needed to fulfil it. If the outgoing director is also leaving management, discuss how decisions and records will continue during the transition. A deliberate handover is more useful than an unexplained name change on a form.
Your practical checklist
- Discuss the move before the expected relocation
- Check the remaining directors’ residency positions
- Obtain advice on the continuing compliance route
- Coordinate officer, bank and operational record changes
- Document any responsible appointment and handover
