Record the change accurately
CRO states that officer changes are notified on Form B10 within 14 days. Ask the filing adviser to confirm the required details, dates and supporting process. Use the actual completed appointment, resignation or change information; do not ask the adviser to reconstruct it from an informal message that says somebody is “probably leaving”.
Prepare an operational handover
List the outgoing officer’s responsibilities, documents, outstanding tasks and system access. Agree how these will pass to an authorised person. For example, a director who dealt with the accountant may hold explanations needed for the current accounts. Obtain that information before the handover becomes difficult, while respecting appropriate access and data handling.
Review related arrangements
Check director-residency implications and other connected records with the relevant advisers. Review bank mandates and provider contacts through their own processes. A company filing is not an automatic access revocation or bank update. Keep those actions separately visible so a completed B10 does not obscure a remaining operational risk.
Brief the incoming officer
Provide the current constitution, company record overview and unresolved issues to the new officer through an appropriate channel. Confirm they understand the responsibilities of the appointment. Retain the accepted filing evidence with the appointment records and update the company’s task map. A well-prepared handover gives the new person facts and context, not only a title.
Your practical checklist
- Confirm completed change details and effective dates
- Arrange the B10 notification within the applicable period
- Review director-residency and connected records
- Transfer documents, tasks and authorised access
- Store evidence and brief the incoming officer
