A UK-based founder’s Irish director-residency checklist

A UK-based founder should check the director route before ordering an Irish formation package. Work through the whole setup rather than assuming the proximity of the two countries settles the requirements.

Check the residency position first

The UK is outside the EEA. Where no director is EEA-resident, discuss a bond or valid exemption with the team. Describe all proposed directors rather than only the main founder. Your citizenship and the company’s intended customers do not by themselves answer that director-route question.

Confirm the package and missing services

Once the route is clear, compare the listed support. The Non-Resident package includes a two-year bond; an Irish registered-office service is separate. Ask the team to confirm the identity support needed for your particular officers. Keep an explicit list of items you already have and items that still need arranging rather than assuming a non-resident label means everything is included.

Plan two-country advice where relevant

Explain where work will be performed, where directors make decisions and where customers and staff are located. Give the same facts to your tax adviser and bank. Incorporation is one step; it is not a conclusion about all UK and Irish obligations. Avoid making a commercial commitment based on an assumed tax rate or bank approval.

Build a launch handover

After approval, collect the company documents and allocate the tax, banking, records and filing tasks. Agree how official post at the Irish address reaches the people responsible. For example, identify who will review a notice when the founder is travelling and how they will confirm action was taken. A cross-border setup needs a communication process as well as paperwork.

Your practical checklist

  • Confirm where every director is resident
  • Resolve bond or exemption questions before ordering
  • Arrange the Irish address and identity process
  • Take advice on the actual cross-border activity
  • Assign post, banking, tax and compliance tasks
