EEA director residency: why a passport is not the answer

For the director residency question, citizenship alone is not enough. Start with where each proposed director is resident and ask the team to assess that position before choosing the formation route.

Ask the right initial question

CRO’s requirement concerns an EEA-resident director, not simply an EEA passport holder. Give the team residence information for every proposed director. Do not select a package by nationality alone. A founder living outside the EEA may need a different route even when their citizenship seems to suggest otherwise.

Explain moves and mixed circumstances

If someone divides their time between countries or has recently moved, describe the dates and circumstances instead of reducing the situation to a single mailing address. The assessment may need advice. Keep the account factual: where the person lives, what has changed and which records support the position. A convenient address used for post does not settle residency.

Do not borrow a director for appearance

Discuss the responsibility of an appointment with anyone you propose as a director. An officer should understand the company and role, not merely lend a location to a form. If the business will rely on that person for its residency route, ask how their departure or a later move would affect the company’s compliance plan.

Record the route and review triggers

Keep the confirmed formation route with the incorporation instructions. Note the events that should prompt a fresh assessment, such as a director resignation or move. Tell the filing coordinator when those events occur. An initial satisfactory position is easier to maintain when the company has a process for noticing changes rather than discovering them at the next return.

Your practical checklist

  • List all proposed directors and actual residence circumstances
  • Disclose recent moves or time split between countries
  • Confirm the route with the formation team
  • Make appointments with informed consent
  • Review the position when residence or officers change
