Updating RBO information after an ownership change

An ownership transaction can trigger several different record updates. Include beneficial ownership in the transaction handover so the company’s internal information and central filing stay aligned.

Identify which information changed

RBO guidance requires notification within 14 days of changes to the internal beneficial ownership register. Changes can concern a person’s details as well as additions or removals. Confirm the affected information and relevant timing with the person responsible for the filing instead of assuming only a major share sale needs attention.

Use a transaction handover note

Ask the adviser handling a share issue or transfer to summarise what completed, when it completed and which ownership records need review. Include changes to rights or control even where the headline share percentages look similar. Give the filing coordinator the completed information rather than asking them to infer the result from draft documents.

Keep the two records distinct

The internal register belongs in the company’s records; the central RBO submission is a separate action. Updating a spreadsheet does not itself send a central filing. Equally, a filing confirmation should be saved with the evidence supporting the internal position. Use separate completion boxes for the assessment, internal update and RBO notification.

Review personal-detail changes too

Agree a way for relevant people to report changes to their recorded information. Avoid collecting sensitive details through a broadly shared group chat. Confirm the appropriate secure channel and send only what is needed. After submission, retain the acknowledgement and resolve any query promptly so a “sent” task is not mistaken for an accepted, complete update.

Your practical checklist

  • Confirm the completed change and its date
  • Reassess ownership and control where needed
  • Update the internal register
  • Submit the required RBO notification on time
  • Store the acknowledgement and resolve queries
