Look beyond the first shareholder
RBO concerns natural persons who own or control the relevant entity, including through indirect ownership or other control. A corporate shareholder’s name alone does not answer that question. Ask an adviser to assess the chain instead of entering the first company name as though it were an individual beneficial owner.
Build an evidence map
For every entity in the chain, collect its legal name, jurisdiction, registration identifier and the current ownership information available. Label the date of each record and any uncertainty. Show relationships clearly, but do not assume multiplying percentages is sufficient for every structure. Voting rights, control arrangements and incomplete information may require a more careful assessment.
Include control questions
Ask whether anyone can direct decisions, appoint key people or exercise influence through agreements beyond their apparent holding. Explain any trusts, layered entities or unusual rights to the adviser. If you cannot obtain information from an upstream shareholder, record the request and response rather than filling the gap with a guessed person or an unverified internet result.
Create a maintenance process
A chain can change without an obvious transfer in the Irish company’s own shareholder list. Agree how the corporate shareholder will notify you of relevant changes. Keep the assessed ownership map, supporting documents and follow-up actions available to the person handling the internal register and RBO filing. The aim is a traceable explanation, not an attractive diagram with missing evidence.
Your practical checklist
- Map every relevant entity and jurisdiction
- Collect dated ownership and control evidence
- Flag unusual rights and incomplete information
- Obtain a professional beneficial ownership assessment
- Agree how upstream changes will be communicated
